These Terms & Conditions ("Terms") govern your access to and use of the websites, documentation, software development kits (SDKs), application programming interfaces (APIs), command-line tools, smart contracts, testnets, and other products and services (together, the "Services") made available by AIVM Technologies S.A. ("AIVM", "we", "us" or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. You may not use the Services if you are located in, or are a resident, national or agent of, any jurisdiction subject to comprehensive sanctions, or if you are a person with whom dealings are prohibited under applicable sanctions, export-control or anti-money-laundering laws. You are responsible for compliance with all laws that apply to you.

2. The Services are early-stage and experimental

The Services, including any protocol, blockchain, oracle, agent-runtime, testnet or developer preview, are provided for evaluation and development and may be incomplete, change without notice, contain defects, or be discontinued at any time. Testnet tokens and any test credits have no monetary value and are not redeemable. Do not rely on the Services for production, safety-critical, or high-value use without your own independent testing and diligence.

3. Acceptable use

You agree not to, and not to permit any agent or third party acting on your behalf to:

use the Services for any unlawful, fraudulent, infringing, or harmful purpose;
violate the rights of others, including intellectual-property, privacy, or contractual rights;
attempt to gain unauthorized access to, disrupt, or compromise the integrity or security of the Services or any related systems or networks;
circumvent usage limits, access controls, or any policy-enforcement or governance mechanism;
deploy autonomous agents or software that transact, move value, or take actions in violation of these Terms, applicable law, or the rights of third parties;
reverse engineer non-open-source components except to the extent permitted by law; or
use the Services to build a competing product by misappropriating our confidential information.

4. No professional advice

Nothing provided through the Services constitutes financial, investment, trading, legal, tax, or other professional advice. You are solely responsible for your decisions and for obtaining your own advice.

5. No offer of securities or tokens

The Services and any related materials do not constitute an offer or solicitation to buy or sell any security, token, or financial instrument, and must not be relied on in connection with any investment decision. Any statements about future functionality are forward-looking and subject to change.

6. Intellectual property; feedback

The Services and all associated content, trademarks, and software are owned by AIVM or its licensors and are protected by law. Subject to these Terms, AIVM grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. Open-source components are licensed under their own terms, which control for those components. If you submit feedback or suggestions, you grant AIVM a perpetual, worldwide, royalty-free license to use them without restriction or obligation.

7. Third-party services and blockchains

The Services may interoperate with third-party software, wallets, and public blockchain networks that we do not own or control. We are not responsible for those third parties. Blockchain transactions are generally irreversible; you are responsible for the transactions and instructions you (or your agents) authorize.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. AIVM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AGENT OR AI OUTPUT WILL BE ACCURATE, LAWFUL, OR FIT FOR ANY PURPOSE. See our Disclaimer.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIVM AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, DIGITAL ASSETS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. AIVM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AIVM FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification

You agree to indemnify and hold harmless AIVM and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your agents' actions, or your breach of these Terms or of applicable law.

11. Term and termination

We may suspend or terminate your access to the Services at any time, with or without notice, including for any breach of these Terms. Provisions that by their nature should survive termination will survive.

12. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be finally resolved by arbitration administered in Panama City, Republic of Panama (Centro de Conciliación y Arbitraje de Panamá, CeCAP), conducted in Spanish, to the extent permitted by law. You and AIVM waive any right to participate in a class or representative action. Nothing in this section prevents either party from seeking injunctive relief.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest version. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms are the entire agreement between you and AIVM regarding the Services and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
